These Terms of Service govern your use of the HarvestLearn website at harvestlearn.buzz and the field classroom services provided by KunMing ChengHeXue E-Commerce Co., Ltd., a company at Room 904, 9/F, Block A, Guofang Building, No 46 Wuyi Road, Wuhua District, KunMing City - 650000, China (CN). By visiting the site, writing to the desk or booking a term, you agree to these terms. Please read them before you send a first letter.
1. Agreement to these terms
These Terms of Service form a binding agreement between you and KunMing ChengHeXue E-Commerce Co., Ltd. They apply from the moment you first use the website or send a letter to the field desk. If you do not agree with any part of these terms, please do not use the site and do not book a term.
Where a client organisation signs a separate written agreement for a term, that agreement and these terms apply together. If the two conflict, the signed agreement controls for the work it covers and these terms continue to govern the use of the website and everything else.
We may update these terms from time to time. The version in force is the one published on this page, and the date at the top shows when it last changed. Continued use of the website after an update means that the new version applies to future visits.
2. Definitions used here
To keep these terms readable, the following words carry the meanings below.
- Company, we, us or our means KunMing ChengHeXue E-Commerce Co., Ltd.
- Desk means the HarvestLearn field desk through which the services are delivered.
- Client or you means the person or organisation using the website or booking a service.
- Term means a working period agreed between the desk and the client, usually about twelve weeks.
- Course sheet means the written scope that lists the rows of work and the harvest expected at the end of a term.
- Paddy note means a short written record produced during a term describing progress and open items.
- Terms means these Terms of Service together with any signed agreement for a specific term.
Words in the singular include the plural and the reverse, and references to a person include a company or partnership where the context allows.
3. Eligibility and authority
You must be at least eighteen years old, or the age of majority in your region, to book a service from the desk. Visitors of any age may read the public pages of this website.
If you book on behalf of an organisation, you confirm that you are authorised to do so and that the organisation agrees to be bound by these terms. The field desk will treat the named contact as the person responsible for approvals, unless the client names another person in writing.
We may decline a booking where the work falls outside our field, where the plot is too small to run a proper term, or where accepting it would create a conflict of interest. We will explain the reason in writing and, where we can, suggest an alternative row.
4. The services we provide
The field desk provides computer integrated systems design and related professional services through six rows of work: course sheet bays, paddy note runs, student letter desks, term windows, lesson review rounds and field sittings. The services page describes each row in detail and forms part of these terms by reference.
The services are professional advisory and documentation services. They do not include legal, tax, medical or financial advice, and nothing written by the desk should be read as a substitute for advice from a qualified professional in those fields.
Where a term includes work with third party software, the desk helps plan, integrate and document that software, but the provider of that software remains responsible for its own performance, licensing and support. The desk does not sell third party licences unless a course sheet says so in writing.
5. Booking and term windows
Booking begins with a written letter to learn@harvestlearn.buzz or a call to +17693042919. The desk replies in writing and suggests a term window. A booking is confirmed only when the desk has confirmed the window in writing and either the signed agreement or, for small rows, a written acceptance by email has been received.
Term windows are fixed in advance and published to clients. A window holds the slot, the people assigned to the plot and the planned harvest date. Work that arrives after a window has closed is scheduled into the next one, and we will tell you as early as possible if the requested window is already full.
Please do not consider a booking confirmed because you have asked for a date. Until the written confirmation arrives, the slot remains open to other clients. We try to confirm or decline every request within five working days.
6. Course sheets and changes
Every term begins with a course sheet. The desk drafts the sheet after an opening conversation and sends it to the client for review. The client reviews it, requests any changes and approves it in writing. The approved sheet becomes the reference for the work.
Changes to an approved course sheet are handled through a written change note. The note states what is added, what is removed, what the change does to the harvest date and whether it affects the fee. The desk does not begin work on a change until the change note is accepted by the client in writing.
Where a change is small and does not alter the fee or the date, the desk may record it in the next paddy note instead of issuing a formal change note, but only with the client agreement in writing. Repeated small changes that add up to a large shift in scope will be consolidated into a change note.
7. Client responsibilities
A good term depends on both sides. The client agrees to provide the following in a reasonable time.
- A named person who can approve the course sheet, change notes and review decisions.
- Access to the systems, documents and people the desk needs to understand the plot.
- Accurate information about existing material, licences and known problems.
- Timely feedback on drafts, so that the note run does not stall.
- Payment of invoices in line with section 8 below.
If the client cannot provide something the term depends on, the desk will say so in a paddy note and agree a revised date where possible. Delay caused by missing client input may move the harvest date, and the desk will not be responsible for a missed date caused by that delay.
8. Fees, invoicing and taxes
Fees for each term are set out in the course sheet or in the signed agreement. Unless the sheet says otherwise, the fee covers the rows described in it and the written material produced for those rows, and it does not cover travel, third party licences or extra rows added later.
Invoices are issued at the times set out in the agreement, usually partly at confirmation and partly at the close of the term. Payment is due within thirty days of the invoice date unless the agreement says otherwise. Fees are quoted in the currency named on the invoice. Each party bears its own bank charges, and taxes are charged where the law requires.
If an invoice remains unpaid after the due date, the desk may pause work on the plot after giving written notice and a short chance to remedy the position. Interest may be charged on overdue amounts at a reasonable rate allowed by law. We would rather talk about a payment problem than stop work, so please write to the desk as soon as an invoice becomes difficult.
9. Cancellation and rescheduling
A client may cancel a term by written notice. If cancellation arrives more than ten working days before the window opens, any deposit paid is returned in full. If it arrives within ten working days, the desk keeps the deposit to cover the time already reserved and any preparation completed.
Once a term has started, the client may cancel with thirty days written notice and pays for the rows completed plus any non cancellable costs already committed. The desk will hand over the written material produced to that point and will close the file in the same way as a completed term.
Rescheduling is usually possible without charge when a request arrives at least five working days before a field sitting or the start of a window. Where a reschedule is requested with less notice, the desk may apply the cancellation terms to the original slot and book the new one separately.
10. Field sittings and travel
A field sitting places a member of the desk beside the client team for a day or two. The client agrees to provide a safe working space, reasonable access and the people named in the booking. The desk arrives with the working documents and aims to leave with a written outcome for the day.
Travel costs are agreed in advance and invoiced at cost or at the rate stated in the course sheet. Where a sitting must be postponed because of travel disruption outside the control of either party, the desk and the client will agree a new date in the next available window.
Sittings may be recorded in writing by the desk for the purpose of the paddy notes. Recording by audio or video requires the agreement of everyone present, and the desk will not record a sitting without that agreement.
11. Deliverables and ownership
At the close of a term the desk delivers the approved course sheet, the paddy note archive, the review record and any handouts written for the client team. These documents are delivered in common formats so that the client can keep and share them without the desk.
On payment in full, the client receives a perpetual licence to use the delivered material for its own internal purposes. The desk retains ownership of its method, templates and working notes, and may reuse general knowledge and techniques gained during a term, provided that no confidential information of the client is disclosed.
Client material shared with the desk remains the property of the client. Where the client material includes third party content, the client confirms that it has the right to share it and that the desk may use it for the term.
12. Confidentiality
Each party agrees to keep the confidential information of the other party private. Confidential information includes written material marked as confidential, system details, client lists, commercial terms and anything that a reasonable person would understand to be sensitive in the context of the work.
Confidential information may be shared with the people who need it to deliver or receive the services and with professional advisers bound by duties of confidence. It may also be disclosed where the law requires it, in which case the disclosing party will give the other party notice where it is lawful to do so.
These duties continue for five years after the end of the term, and indefinitely for information that remains a trade secret. The duty does not apply to information that is already public, that a party developed independently, or that a party received lawfully from a third party without a duty of confidence.
13. Acceptable use of the website
You may read the public pages of this website, print pages for your own reference and link to them. You agree not to use the site in ways that damage it or the people who visit it.
- Do not attempt to gain access to parts of the site or the hosting environment that are not public.
- Do not upload or send material that contains malware or that is intended to disrupt the service.
- Do not use the contact form or the email address to send unsolicited advertising.
- Do not copy large parts of the website into another service or present it as your own.
- Do not misrepresent your identity when writing to the desk.
Where we believe that the site is being misused, we may block access, remove material and, where appropriate, report the matter to the relevant authority.
14. Intellectual property
The website, its text, its layout and the HarvestLearn name and course materials are owned by KunMing ChengHeXue E-Commerce Co., Ltd. or used with permission. Nothing in these terms transfers ownership of that material to you.
You may quote short passages from public pages with an attribution to the desk and a link to the source. You may not reproduce whole pages, use the material to train commercial models, or apply the HarvestLearn name to your own services without written permission.
Where the website displays content supplied by a client, the client grants the desk a licence to use that content for the purpose of the term. The client is responsible for making sure that the content does not infringe the rights of anyone else.
15. Third party tools and links
The desk uses third party hosting, email and documentation tools to deliver its services, and the website may link to other sites. These tools and links are provided for convenience. We do not control third party sites and we are not responsible for their content, availability or handling of information.
Where a term depends on a third party tool, the course sheet names that tool and the client remains responsible for its licence and its terms of use. If a third party changes its terms in a way that affects the term, the desk will tell the client and, where useful, propose an alternative during a lesson review round.
16. Warranties and disclaimers
The desk promises to carry out its services with reasonable skill and care and in line with the approved course sheet. That is the central promise of these terms.
Beyond that, the website and the written material are provided as they are. We do not promise that the site will be free of errors or available without interruption, and we do not promise a specific business result from any term. Outcomes depend on many factors outside the control of the desk, including the client systems, the people who run them and the wider environment.
To the extent allowed by law, all other warranties, whether express or implied, are excluded. Nothing in these terms excludes a warranty that cannot be excluded by law in your region.
17. Limitation of liability
Neither party is liable to the other for indirect or consequential loss, including lost profits, lost business opportunity or loss of goodwill, however that loss arises.
The total liability of the desk in connection with a term is limited to the fees paid or payable by the client for that term. Where a claim relates only to the free use of the website, the liability of the desk is limited to a reasonable amount that reflects the nature of the claim.
These limits do not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or any other liability that cannot be limited by law. They also do not reduce a duty of confidentiality or a duty to pay an invoice that is due.
Each party must take reasonable steps to reduce any loss it suffers and must tell the other party about a potential claim as soon as it becomes aware of it.
18. Indemnity
The client agrees to indemnify the desk against claims that arise from client material shared in the course of a term, where that material infringes the rights of a third party or was shared without the necessary permission.
The desk agrees to indemnify the client against claims that its own written material infringes the rights of a third party, provided that the client tells the desk about the claim promptly, allows the desk to manage the response and does not settle the claim without the desk agreement.
An indemnity under this section covers reasonable legal costs and direct losses but does not extend to indirect loss. The party claiming the indemnity must take reasonable steps to reduce the loss.
19. Suspension and termination
We may suspend or end access to the website where we reasonably believe that a person has broken these terms or is using the site in a way that harms the desk or other visitors. Where possible, we will give notice and a chance to remedy the position.
Either party may end an ongoing term immediately by written notice if the other party commits a serious breach and does not remedy it within fifteen working days of being asked to do so. A serious breach includes a failure to pay an invoice, a breach of confidentiality, or conduct that makes the working relationship unsafe.
When a term ends, the client pays for the rows completed to that point and the desk delivers the written material produced for those rows. Sections on confidentiality, intellectual property, liability, indemnity and governing law survive the end of these terms.
20. Force majeure
Neither party is responsible for a delay or failure caused by an event outside its reasonable control. Such events include natural disasters, severe weather, epidemics, civil unrest, industrial action, failures of public infrastructure, and widespread failures of internet or power services.
The affected party must tell the other party promptly and take reasonable steps to limit the effect of the event. If the event continues for more than sixty days, either party may end the affected term by written notice, and the client pays only for the rows completed before the event began.
21. Governing law and disputes
These terms are governed by the laws of the People Republic of China, without regard to conflict of law rules. The desk and the client agree to try to resolve any dispute through good faith discussion before starting formal proceedings.
A notice of dispute should be sent in writing to learn@harvestlearn.buzz and should describe the issue, the outcome sought and the date by which a response is needed. The desk will reply in writing within ten working days and propose a route forward.
If the dispute cannot be resolved through discussion, it may be referred to the courts that have jurisdiction over the registered address of the company, unless the law where the client lives gives the client a right to bring a claim in a local court, in which case that right is preserved.
22. General provisions
These terms, together with any signed agreement, are the complete understanding between the parties on the matters they cover. They replace earlier discussions on the same matters.
If a provision is found to be invalid or unenforceable, the remaining provisions continue in force and the invalid provision is read down to the smallest change needed to make it work.
A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later. Neither party may transfer its rights under these terms without the written agreement of the other party, except where the transfer happens as part of a reorganisation of the business.
Notices to the desk should be sent to learn@harvestlearn.buzz or to the postal address below. Notices to the client are sent to the email address provided during booking, and the client is responsible for keeping that address current.
Headings are for convenience only and do not affect the meaning of the text. Nothing in these terms creates a partnership, joint venture or agency between the parties.
23. Contact details
Questions about these terms, a booking, an invoice or a dispute are welcome in writing. The desk reads every message and aims to reply within two working days.
